These terms govern your use of our services and outline the rights and responsibilities of both parties.

2. Acceptance of Terms

By accessing and using our services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and others who access or use our services.

3. Services Description

AdevIT BV provides comprehensive SAP development services including:

  • • SAP Fiori & UI5 Development
  • • SAP Business Technology Platform (BTP) Solutions
  • • S/4HANA Migrations & Enhancements
  • • ABAP Development & Customizations
  • • SAP Consulting & Strategy Services
  • • Support, Maintenance & DevOps

4. Client Responsibilities

As a client, you agree to:

  • • Provide accurate and complete project requirements
  • • Grant necessary access to systems and resources
  • • Review and provide timely feedback on deliverables
  • • Make payments according to agreed payment terms
  • • Comply with applicable laws and regulations
  • • Maintain confidentiality of proprietary information

5. Payment Terms

  • Invoicing: Invoices are issued according to project milestones or monthly billing cycles
  • Payment Terms: Net 30 days from invoice date unless otherwise agreed
  • Late Payments: Late payments may incur interest charges of 1.5% per month
  • Currency: All amounts are in Euro (EUR) unless otherwise specified
  • Taxes: Prices exclude applicable taxes, which will be added to invoices

6. Intellectual Property Rights

Client IP

You retain ownership of your existing intellectual property, including business processes, data, and proprietary information.

Deliverables

Upon full payment, you receive ownership of custom deliverables created specifically for your project.

Our IP

We retain rights to our proprietary tools, frameworks, and reusable components used across projects.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information:

  • • Business strategies and financial information
  • • Technical specifications and system details
  • • Client data and proprietary processes
  • • Project methodologies and internal tools
  • • Any information marked as confidential

Confidentiality obligations survive termination of the agreement for a period of 5 years.

8. Limitation of Liability

General Limitation

Our total liability for any claims arising from these terms or our services shall not exceed the total amount paid by you for the specific project or service giving rise to the claim.

Excluded Damages

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities.

9. Warranty and Support

Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. This warranty is valid for 90 days from project completion.

Support

Post-project support is available according to the terms of your support agreement. Emergency support may be available for critical issues.

10. Termination

Termination for Convenience

Either party may terminate the agreement with 30 days written notice. You remain responsible for payment of services rendered up to termination.

Termination for Cause

Either party may terminate immediately for material breach, insolvency, or failure to perform obligations after reasonable notice.

11. Governing Law and Disputes

Governing Law

These terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam.

Dispute Resolution

We encourage amicable resolution of disputes. If mediation is required, it will be conducted by a neutral third party before legal proceedings.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of our services constitutes acceptance of the modified terms.
